Ali Nardali is a partner at K&L Gates’ San Francisco office. He is a member of the benefits, ESOPs, and executive compensation practice group.
Mr. Nardali represents senior executives, the Fortune 500, “unicorns”, venture capitalists, and senior government officials on sensitive and often high-profile matters involving the compensation of senior executives. These representations include the hiring and termination of senior executives, as well as the treatment of senior executives in connection with acquisitions, divestitures, initial public offerings and other extraordinary business transactions.
Recent (2018-2019) representations include interested parties in T-Mobile’s $26 billion acquisition of Sprint, VMware’s $11 billion one-time special dividend, an investor consortium’s $9 billion investment in Uber, Softbank’s $6 billion investment in WeWork, BlackBerry’s $1.4 billion acquisition of Cylance, the initial public offering of Uber and the proposed initial public offering of WeWork. Prior representations include interested parties in some of the most significant and high-profile matters of the last decade.
Mr. Nardali is a frequent author and speaker on issues affecting the compensation of executives; recent (2018-2019) articles include pieces published by Bloomberg and the Harvard Law School Forum on Corporate Governance and Financial Regulation.
Mr. Nardali is a graduate of the Yale Law School and a former member of the Editorial Board of the Yale Law Journal. He holds a B.A. in mathematics, summa cum laude and Phi Beta Kappa, from the University of North Carolina at Chapel Hill. Mr. Nardali is recommended for Employee Benefits and Executive Compensation by Legal 500 US 2018 and 2019.
